- The Partner shall not use the Company’s intellectual property without obtaining prior written consent.
Confidentiality:
- The Partner shall maintain the confidentiality of any confidential information shared by the Company during the course of the partnership.
- Confidential information includes, but is not limited to, trade secrets, customer data, pricing structures, and marketing strategies.
Compensation and Payment:
- Any compensation or payment terms will be agreed upon separately in a written agreement or as communicated by the Company.
- The Partner shall provide accurate payment information and shall be responsible for any applicable taxes or fees.
Termination:
- Either party may terminate the partnership at any time by providing written notice to the other party.
- Upon termination, the Partner shall cease using any Company materials or intellectual property and return any Company-related documents or materials in their possession.
Limitation of Liability:
The Company shall not be held liable for any indirect, incidental, consequential, or punitive damages arising from the partnership or its activities.
Governing Law and Jurisdiction:
